1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the websites operated by Muse Foundry LLC, doing business as Musical Form Institute (“MFI,” “we,” “our”), including musicalform.org and registry.musicalform.org (collectively, the “Site”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

2. About the Site

The Site provides information about the Certificate of Embodied Production™ certification program operated by MFI, including a public certification registry (the “Registry”) that displays information about sound recordings certified under the program.

The Registry is a public verification tool. It enables anyone to confirm whether a specific sound recording has been certified under the Certificate of Embodied Production™ standard. Registry data includes certified recording titles, artist names, CEP identification numbers, ISRCs, certification dates, and related metadata.

3. Intellectual Property

Ownership. All content on the Site, including text, graphics, logos, images, data compilations, software, and the selection and arrangement thereof, is the property of MFI or its content suppliers and is protected by United States and international intellectual property laws.

Certification Mark. The Certificate of Embodied Production™ name and associated marks are certification marks of Muse Foundry LLC, filed with the United States Patent and Trademark Office (Serial No. 99559776). Use of the certification mark is permitted only in connection with sound recordings certified by MFI and only in accordance with MFI’s published Mark Usage Guidelines. Unauthorized use of the mark is prohibited.

Registry Data. The compilation of data in the Registry is the property of MFI. Individual facts contained in the Registry (such as whether a specific recording is certified) may be referenced for informational purposes, but the Registry as a compiled database may not be reproduced, scraped, downloaded in bulk, or redistributed without MFI’s prior written consent.

4. Permitted Use

You may use the Site for lawful, informational, and verification purposes, including:

  1. Viewing information about the Certificate of Embodied Production™ program.

  2. Verifying the certification status of individual sound recordings through the Registry.

  3. Linking to specific Registry pages for reference in editorial, journalistic, curatorial, or commercial contexts.

  4. Referencing an individual recording’s certification status in press materials, playlist descriptions, liner notes, or similar communications, provided the reference is accurate and links to the corresponding Registry page.

5. Prohibited Use

You may not:

  • Use any automated system, including bots, scrapers, spiders, or crawlers, to access, extract, or download data from the Site or Registry in bulk.

  • Reproduce, redistribute, or create derivative works from the Registry database or any substantial portion thereof.

  • Frame, mirror, or embed the Site or Registry pages on another website without MFI’s prior written consent, except via an embed method expressly provided by MFI.

  • Use the Site in any manner that could damage, disable, overburden, or impair MFI’s servers or infrastructure

  • Use the Certificate of Embodied Production™ name, logo, or mark in any manner not authorized by MFI’s published Mark Usage Guidelines.

  • Misrepresent the certification status of any recording, or claim or imply that a recording is certified when it is not.

  • Attempt to gain unauthorized access to any portion of the Site, its servers, or any connected systems.

6. Registry Accuracy and Limitations

  • MFI makes reasonable efforts to ensure that information in the Registry is accurate and current. However:

  • A Registry listing confirms that a recording was certified as of the certification date shown. It does not constitute an ongoing guarantee of compliance.

  • Certifications may be revoked if MFI determines that the certified recording did not meet the published standard. Revocation will be reflected in the Registry.

  • Registry data is provided for informational purposes only. It does not constitute legal advice, a warranty of any kind, or an endorsement of any artist, label, producer, or other party.

  • MFI does not guarantee uninterrupted access to the Site or Registry. The Site may be temporarily unavailable due to maintenance, updates, or circumstances beyond MFI’s control.

7. Third-Party Links

The Site may contain links to third-party websites or services, including streaming platforms, label websites, or industry organizations. These links are provided for convenience only. MFI does not endorse, control, or assume responsibility for the content or practices of any third-party site. Your use of third-party sites is at your own risk and subject to their respective terms.

8. Privacy

MFI does not require user accounts to access the Registry. If you contact MFI through the Site (for example, to inquire about certification), any information you provide will be used only for the purpose of responding to your inquiry and will not be sold or shared with third parties for marketing purposes.

The Site may use standard analytics tools to collect aggregate, non-personally identifiable information about Site usage (such as page views and traffic sources) for the purpose of improving the Site.

If MFI publishes a separate Privacy Policy, that policy will govern the collection, use, and disclosure of personal information and is incorporated into these Terms by reference.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MFI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MFI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR ACCESS TO OR USE OF THE SITE, INCLUDING BUT NOT LIMITED TO:

  • RELIANCE ON ANY INFORMATION PROVIDED ON THE SITE OR IN THE REGISTRY.

  • ERRORS, INACCURACIES, OR OMISSIONS IN REGISTRY DATA.

  • INTERRUPTION OR UNAVAILABILITY OF THE SITE.

  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY INFORMATION STORED THEREIN.

 

IN NO EVENT SHALL MFI’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless MFI, its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • Your use of the Site in violation of these Terms.

  • Your unauthorized use of the Certificate of Embodied Production™ name or mark.

  • Any misrepresentation of a recording’s certification status.

12. Termination and Enforcement

MFI reserves the right, in its sole discretion, to suspend or terminate your access to the Site, without notice, for conduct that MFI believes violates these Terms or is harmful to MFI, other users, or third parties.

MFI may also take any action it deems necessary to enforce these Terms, including seeking injunctive relief or other equitable remedies in connection with unauthorized use of the certification mark or Registry data.

All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, limitation of liability, indemnification, and governing law.

13. Modifications

MFI reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site after any changes constitutes acceptance of the modified Terms. If MFI makes material changes, it will make reasonable efforts to provide notice (such as a banner on the Site or an updated effective date).

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Arizona.

15. General Provisions

Entire Agreement. These Terms, together with any Privacy Policy published by MFI, constitute the entire agreement between you and MFI with respect to your use of the Site.

No Waiver. MFI’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

Assignment. You may not assign or transfer these Terms or any rights hereunder without MFI’s prior written consent. MFI may assign these Terms without restriction.
